Terms of Service

Welcome to TraceLogic Gateway ("we", "our", "us"), operated by Webtech Solutions (Zoltán Németh EV). These Terms of Service ("Terms") govern your access to and use of the TraceLogic Gateway website, APIs, Supplier Portal, Admin Panel, plugins (such as Magento 2 extensions), and software middleware (collectively, the "Service").

By registering an account, integrating our API, or otherwise using the Service, you ("the Customer", "the Merchant") agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree, do not use the Service.

1. Description of Service and B2B Use

1.1. Description: TraceLogic Gateway is a B2B middleware platform designed to validate transactional data, product catalogs, and supplier evidence against pre-defined rulesets (e.g., matching HS-codes for EUDR relevance, scanning descriptions for Green Claims). The Service is provided as an API and via compatible e-commerce integrations. Features include:

1.2. Business Customers Only: The Service is designed and intended exclusively for business, corporate, and professional users. Consumer protection laws (such as the 14-day right of withdrawal) do not apply to this agreement. You represent and warrant that you are accessing the Service on behalf of a business entity.

2. Account Registration and API Usage

2.1. Account Security: You must provide accurate information when creating an account. You are solely responsible for safeguarding your API keys and credentials. Any action taken using your API key is deemed authorized by you. You must notify us immediately of any unauthorized use of your account.

2.2. Rate Limits and Acceptable Use: Your use of the API is subject to rate limits based on your subscription tier. Exceeding these limits may result in temporary throttling (indicated by 429 Too Many Requests and Retry-After headers). You agree not to reverse engineer, disrupt, or attempt to overwhelm the Service (e.g., via DDoS), bypass security measures, or use the Service to process illegal, malicious, or highly sensitive personal data not required for EUDR/Green Claims compliance. We reserve the right to suspend API access if your usage threatens the stability of our infrastructure.

2.3. Right to Modify: We reserve the right to modify, update, or deprecate features and API endpoints of the Service at any time, with reasonable notice provided for breaking changes.

3. Intellectual Property Rights

All rights, title, and interest in and to the Service (excluding Customer Data), including the underlying software, algorithms, API specifications, and brand assets, are and will remain the exclusive property of TraceLogic Gateway. You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service solely for your internal business operations.

4. Nature of Service and Regulatory Disclaimer

TraceLogic Gateway provides a technical data verification and middleware software ("the Service") designed to check B2B transaction data, HS-codes, text descriptions, and supplier-provided information against predefined rulesets.

4.1. Strictly a Data Verification Tool: The Service is provided solely as an automated data processing and verification tool. TraceLogic Gateway is not a law firm, not an accredited sustainability certification body, and is not affiliated with or endorsed by the European Union, the TRACES NT system, or any regulatory authority.

4.2. Sole Operator Responsibility: You (the Merchant/Operator) acknowledge that under the EU Deforestation Regulation (EUDR), the Green Claims Directive, and other applicable laws, the ultimate legal responsibility for supply chain due diligence, product compliance, and the substantiation of environmental claims rests entirely and exclusively with you.

4.3. AI and Automated OCR Disclaimer: The Service may utilize Artificial Intelligence (AI) and Optical Character Recognition (OCR) models to parse and evaluate supplier documents. You acknowledge that AI systems may produce inaccurate or "hallucinated" results. All AI-generated approvals or rejections should be subject to human review (Human-in-the-loop). We assume no responsibility for false positives or false negatives generated by automated document verification.

4.4. No Guarantee of Compliance: While the Service uses best-effort algorithms to detect missing data or unsubstantiated claims, TraceLogic Gateway makes no warranty that the use of the Service will guarantee compliance with any local, national, or international laws.

4.5. Fail-Open Design: We are not liable for any third-party outages (e.g., TRACES NT downtime or OCR provider downtime). The system is designed to "fail-open" so as not to block your checkouts, flagging these instances appropriately.

5. Disclaimer of Warranties ("AS-IS")

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRACELOGIC GATEWAY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, 100% SECURE, OR FREE FROM MALWARE OR SERVER OUTAGES.

6. Limitation of Liability

6.1. Exclusion of Fines and Penalties: UNDER NO CIRCUMSTANCES SHALL TRACELOGIC GATEWAY, ITS FOUNDERS, EMPLOYEES, OR AFFILIATES BE HELD LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, REGULATORY FINES, GOVERNMENT PENALTIES, CUSTOMS SEIZURES, STOP-SHIP ORDERS, LOST PROFITS, OR LOSS OF REVENUE ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE. THIS APPLIES EVEN IF THE SERVICE RETURNED AN "APPROVED", "VERIFIED", OR SIMILAR POSITIVE STATUS FOR A SPECIFIC TRANSACTION OR CATALOG ITEM.

6.2. Liability Cap: To the maximum extent permitted by applicable law, TraceLogic Gateway's total cumulative liability for any claims arising out of or relating to this Agreement, regardless of the form of the action (whether in contract, tort, or otherwise), shall be strictly limited to the total amount of subscription fees actually paid by you to TraceLogic Gateway in the three (3) months immediately preceding the event giving rise to the claim.

7. Indemnification (Hold Harmless)

You agree to defend, indemnify, and hold harmless TraceLogic Gateway, its officers, directors, and employees, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any privacy or data rights of your suppliers; or (d) any regulatory fines levied against you for non-compliance with EUDR or Green Claims Directive.

8. Data Protection and Privacy

8.1. Data Controller and Processor: In providing the Service, TraceLogic Gateway acts as a Data Processor under the General Data Protection Regulation (GDPR), processing data on your behalf. You remain the Data Controller of all personal data (including supplier contact details and geolocation data) transmitted through our API.

8.2. Data Processing Agreement (DPA): By using the Service, you agree to our Data Processing Agreement, which forms an integral part of these Terms. For more details on how we handle data, please refer to our Privacy Policy.

8.3. Confidentiality: Tenant isolation is enforced. Your audit logs and supplier data are exclusively visible to your tenant.

9. Fees, Payment, and Subscriptions

9.1. Billing: The Service is billed on a subscription basis (monthly or annually) via Stripe. All fees are exclusive of VAT unless otherwise stated. EU B2B customers with a valid VAT number are subject to the reverse charge mechanism.

9.2. Non-Refundable: Subscriptions are auto-renewing. Payments are non-refundable, except where required by law. You may cancel your subscription at any time; your API access will remain active until the end of the current billing cycle.

9.3. Price Changes: Trial terms and payment schedules are governed by the pricing plan you select. We reserve the right to modify pricing with 30 days' prior notice.

10. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms (other than for delay in the payment of money due and payable hereunder) for causes beyond that party's reasonable control, including, but not limited to, acts of God, acts of government, flood, fire, civil unrest, acts of terror, strikes, internet service provider failures or delays, or major infrastructure outages (e.g., Hetzner or OpenAI API down).

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, without notice or liability, for any breach of these Terms. Upon termination, your right to use the API will immediately cease, and all API keys will be revoked.

12. Governing Law and Severability

12.1. Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of Hungary, without regard to its conflict of law provisions. Any disputes arising directly or indirectly out of these Terms shall be subject to the exclusive jurisdiction of the competent courts of Hungary.

12.2. Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in full force and effect.

13. Optional AI Features

By enabling the optional AI document reading (OCR) feature, you acknowledge and agree that relevant documents (PDF, PNG, JPG) will be transmitted to our designated third-party AI sub-processor. Documents will not leave our system unless you explicitly opt-in to this feature.

14. Free Catalog Audit

We offer a free catalog audit via CSV upload as a demonstration. You agree not to upload highly sensitive personal data. We do not store or retain the uploaded CSV files after the processing and summary generation is complete.
